AI RFQ — Terms of Service

Welcome to AI RFQ by Procuman.ai. Please read these Terms of Service (these "Terms") carefully as they form a contract between you and Procuman.ai ("Procuman.ai", "we", "us", or "our") that governs your access and use of the AI RFQ service ("the Service" or "AI RFQ") — a hosted online marketplace that helps buyers ("Buyers") create Requests for Quotation ("RFQs") and Suppliers respond with bids.

Procuman.ai is a software platform only. We provide the AI RFQ tool that helps you find suppliers, send RFQs, receive bids, and ask questions. We are not a party to any contract, transaction, or agreement between Buyers and Suppliers.

Procuman.ai does not verify, endorse, guarantee, or take responsibility for:

The identity, legitimacy, or accuracy of any information provided by Buyers or Suppliers
The quality, safety, legality, or fitness for purpose of any goods or services offered
The ability of any Buyer or Supplier to complete a transaction
The truthfulness of any AI-generated analysis, summary, or evaluation we produce on your RFQs and bids
Any dispute, loss, damage, delay, non-payment, or harm arising between a Buyer and a Supplier

All contracts are formed directly between Buyer and Supplier. Procuman.ai's role is limited to providing the technology that enables the two sides to communicate and exchange information.

1. Changes to these Terms

We reserve the right to revise these Terms from time to time. The most current version will always be posted at <code>/terms</code>. Material changes will be notified via the Service and/or by email to the email address associated with your account. Your continued use of the Service constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Service.

2. Access to the Service

You may use the Service on a non-exclusive basis, solely in strict compliance with these Terms and all applicable laws. We may modify, suspend, or discontinue the Service at any time, with or without notice, and without liability.

3. Your Account

To use the Service you must register and provide true, accurate, current and complete information ("Registration Data"). You are responsible for maintaining the accuracy of your Registration Data and for keeping your password confidential. You are responsible for all activity that occurs under your account.

Procuman.ai may deny, suspend, or terminate your account at any time at its sole discretion, with or without cause, with or without notice, and without liability.

4. Eligibility

You may use the Service only if you have the legal capacity to form a binding contract in your jurisdiction, and you are not barred from doing so under any applicable laws. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

5. RFQ Content & Supplier Responses

Buyer Content. You retain all rights in the RFQs, attachments, descriptions, and other content you submit ("Buyer Content"). You grant Procuman.ai a non-exclusive, worldwide license to use, transmit, store, and process your Buyer Content solely to operate the Service.

Supplier Content. Suppliers retain all rights in their bids, attachments, and other content they submit ("Supplier Content"). Suppliers grant Procuman.ai a similar license to operate the Service and route Supplier Content to the relevant Buyer.

No verification by Procuman.ai. We do not control, verify, endorse, or guarantee the accuracy, legality, or quality of any Buyer Content or Supplier Content. You are solely responsible for your Content and for evaluating the other party's Content before entering into any transaction.

No contractual relationship. Procuman.ai is not a party to any agreement, contract, or transaction between a Buyer and a Supplier. Any such agreement is solely between the Buyer and the Supplier. Procuman.ai bears no responsibility for the performance, non-performance, payment, non-payment, delivery, non-delivery, quality, or any other aspect of any such transaction.

6. AI-Generated Content

AI RFQ uses artificial intelligence (LLM models) to perform supplier search, score bids, summarize Q&A, and generate other text. AI outputs are provided "AS IS" without warranty of accuracy, completeness, or fitness for any particular purpose. Procuman.ai does not guarantee the truthfulness of any AI-generated output, and you should independently verify any information before relying on it.

7. Buyer-Supplier Disputes

Procuman.ai is not obligated to mediate, arbitrate, or otherwise resolve any dispute between a Buyer and a Supplier. If a dispute arises, the parties must resolve it directly between themselves. Procuman.ai may, at its sole discretion, provide limited information to assist the parties but is under no obligation to do so.

8. Payment & Fees

Procuman.ai may charge subscription fees for use of the Service. Any fees are disclosed in the pricing section of the Service and on our main website. You agree to pay all applicable fees. Procuman.ai is not involved in any payment between Buyer and Supplier; all financial transactions are handled directly between the two parties via their own payment arrangements.

9. Acceptable Use

You agree NOT to:

Use the Service for any unlawful purpose or in violation of any applicable law
Post false, misleading, or fraudulent RFQs or bids
Impersonate any person or entity, or misrepresent your identity or affiliation
Send spam, unsolicited communications, or engage in phishing
Upload viruses, malware, or any code intended to disrupt the Service
Attempt to gain unauthorized access to the Service or other users' accounts
Scrape, crawl, or use automated tools to extract data from the Service
Interfere with or disrupt the integrity or performance of the Service

10. Intellectual Property

The Service, including its design, code, features, AI models, and content (excluding Buyer Content and Supplier Content, is owned by Procuman.ai and protected by intellectual-property laws. You may not copy, modify, distribute, sell, or create derivative works of the Service.

11. Suspension and Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice, and without liability. Causes include (a) violation of these Terms; (b) use that exposes us to legal liability; (c) suspected malicious activity; (d) excessive usage; (e) non-payment; or (f) extended inactivity.

12. Disclaimers (NO WARRANTY)

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF ANY AI-GENERATED CONTENT.

Procuman.ai does not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any defects will be corrected.

Procuman.ai does not warrant, endorse, guarantee, or assume responsibility for:

The identity, legitimacy, or accuracy of any Buyer or Supplier
The quality, safety, legality, or fitness for purpose of any goods or services offered by any party
The ability of any Buyer or Supplier to complete a transaction
The accuracy of any AI-generated analysis, summary, or evaluation
Any dispute, loss, damage, delay, non-payment, or harm arising between a Buyer and a Supplier

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROCUMAN.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, ANY TRANSACTION BETWEEN A BUYER AND A SUPPLIER, OR ANY AI-GENERATED CONTENT.

IN NO EVENT SHALL PROCUMAN.AI'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED EUROS (€100).

Specifically and without limitation, Procuman.ai is not liable for any loss or damage arising from any dispute, contract, or interaction between a Buyer and a Supplier, even if Procuman.ai was notified of the possibility of such damages.

14. Indemnification

You agree to indemnify and hold harmless Procuman.ai, its affiliates, officers, directors, employees, and agents from any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service; (b) your Content; (c) any transaction or interaction you have with another user (Buyer or Supplier); or (d) your violation of these Terms or any applicable law.

15. Data & Privacy

Our handling of personal data is described in our Privacy Policy. By using the Service you agree to the data practices described therein.

16. Governing Law & Disputes

These Terms are governed by the laws of the Grand Duchy of Luxembourg, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Luxembourg City, Luxembourg.

Nothing in this section limits either party's right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent or stop unauthorized use of the Service or infringement of intellectual-property rights.

17. The Procuman.ai Entity

The Service is provided by the Procuman.ai entity registered in Luxembourg. For any legal notice or correspondence, please contact: see Imprint.

18. Miscellaneous

Entire agreement. These Terms (plus the Privacy Policy and Imprint) constitute the entire agreement between you and Procuman.ai regarding the Service.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
No waiver. Procuman.ai's failure to enforce any provision is not a waiver of its right to do so later.
Assignment. You may not assign these Terms without Procuman.ai's prior written consent. Procuman.ai may assign these Terms without notice.
